Lori Yarvis is a corporate lawyer whose practice focuses on asset and stock purchases and sales, buy/sell agreements, commercial leases, shareholder and operating agreements, contracts and business agreements, business transactions and transitions, and asset protection and risk management. Lori’s client businesses range from medical, dental, veterinary and other health care practices and providers, to food and hospitality industry companies, to professional services companies, among others. With 30 + years’ experience working with businesses, Lori brings a practical, creative and business-minded approach to solving problems and addressing issues.  She also encourages and assists clients to be proactive-helping them to implement best practices while achieving their business goals and to manage growth while staying legally compliant.  She is particularly effective at integrating with the management team of her client businesses, including family businesses, and collaborating and strategizing with her clients’ team of professional advisors.

Lori joined Archstone Law Group in 2011, continuing the business law practice she developed on her own, first in New York City, and then, after moving to Newton, Massachusetts in 2002, at Schlesinger and Buchbinder, LLP.  Lori practiced as a corporate and transactional attorney in the New York City office of Winston & Strawn LLP and is admitted to practice in Massachusetts and New York.  Lori has been practicing yoga for many years and will continue running as long as her knees hold out.

Representative Experience

Health Care

  • Representation of numerous dental practitioners in the purchase and sale of dental practices, including structuring the transaction, negotiating and drafting the purchase agreements, due diligence, closing and post-closing transition matters.

  • Negotiates numerous commercial leases on behalf of medical and dental practices.

  • Prepares, reviews and negotiates employment agreements on behalf of health care providers and health care practices.

  • Reviews and negotiates numerous business agreements on behalf of health care practices including hospital recruitment agreements, professional services agreements and vendor agreements.

  • Establishes and represents numerous medical and dental practices including entity formation, preparation of the shareholders agreements and operating agreements among the practitioners, advising the practitioners on regulatory compliance, negotiating leases, drafting employment agreements and providing ongoing general corporate advice.

  • Prepares, reviews and negotiates buy/sell agreements and buy-in and buy out agreements for numerous healthcare practices and providers.

Food, Beverage and Hospitality

  • Prepares, negotiate and reviews contracts, reviews and negotiates commercial leases and provides on-going general corporate law advice to restaurants and restaurant owners, including an award-winning restaurant group.

  • Representation of several restaurant owners in the purchase and sale of restaurants, including structuring the transaction, negotiating and drafting the purchase agreements and leases, due diligence, closing and post-closing transition matters.

  • Provides ongoing general corporate law advice to food and beverage manufacturing companies including preparation, review and negotiation of co-packer agreements, distribution agreements and other agreements.

  • Representation of a corporate catering company on a strategic acquisition and its transition to a larger commercial facility, negotiated the business terms, drafted the asset purchase agreement, conducted due diligence, negotiated the lease and closed the transaction.

  • Negotiated the business terms and drafted the documents in connection with the buyout of 50% of the shareholders of a family food business franchise. The transaction included successfully negotiating a release from a nationally recognized franchise company.

  • Advised and executed a family food services business restructuring including the transfer of assets to limited liability companies for asset protection purposes.

  • Provides on-going general corporate law advice to a family business in the supermarket industry.

  • Representation of a food-based website company in its sale to a website aggregator including negotiating purchase and sale and employment agreements and successfully closing on the sale.

  • Provides ongoing corporate law advice to hospitality, sports entertainment and fitness companies. Representation includes advising and documenting transitions such as asset sales and purchases, buy-ins and buy-outs, risk management, review and negotiation of leases and drafting of agreements.

Professional & Other Services

  • Representation of a national engineering company in connection with general corporate law advice. Representation has included negotiating the business terms of a strategic acquisition, due diligence, drafting and negotiating the purchase documents and lease, and closing the transaction.

  • Provides ongoing general corporate law advice to numerous professional services companies including drafting and negotiating buy/sell agreements, buyout agreements, commercial leases, corporate restructuring and spin-offs, master service agreements, client, vendor, supplier, distributor and other contracts, shareholder and operating agreements and stock and asset acquisitions.

  • Represented a high-end print stationery company in its sale to a third party including negotiating the purchase agreement and transition agreements for the departing owners and closing the transaction.

Nonprofits

  • Organizes and obtains tax exempt status for numerous public charities involved in health, social services and other charitable initiatives.

  • Provide general counsel to numerous public charities including advice on contracting, asset transfer and dissolution, governance, fundraising and regulatory compliance.
